4. Project Terms and Conditions

Project Initiation

All projects begin after:

  • Receipt of signed agreement and initial payment
  • Detailed project requirements and specifications
  • Project timeline and milestone approval
  • Resource allocation confirmation

Project Deliverables

We commit to deliver:

  • Source code and documentation as specified
  • Testing reports and quality assurance documentation
  • Deployment and installation instructions
  • User manuals and training materials when applicable

5. Payment Terms

Payment terms for our services are as follows:

  • Initial payment of 50% is required to commence work
  • Progress payments may be required for long-term projects
  • Final payment is due upon project completion and delivery
  • All payments are due within 15 days of invoice date
  • Late payments may incur additional charges
  • We accept bank transfers and major credit cards

6. Intellectual Property Rights

Client Ownership

Upon full payment, clients own the custom-developed software and deliverables. This includes source code, documentation, and any custom features developed specifically for the client.

Our Retained Rights

We retain rights to our proprietary frameworks, libraries, and reusable components. We may also use anonymized project learnings to improve our services.

Third-Party Components

Some projects may include third-party components or open-source software. We will inform you of any licensing requirements or restrictions.

7. Confidentiality and Non-Disclosure

We understand the sensitive nature of your business information and commit to:

  • Maintaining strict confidentiality of all client information
  • Not disclosing proprietary information to third parties
  • Using client information only for project purposes
  • Implementing appropriate security measures
  • Requiring confidentiality agreements from our team members
  • Returning or destroying confidential materials upon request

8. Warranty and Support

Warranty Period

We provide a 90-day warranty period for all delivered software. During this period, we will fix any bugs or defects that prevent the software from functioning as specified in the requirements.

Support Services

Post-warranty support is available through our maintenance packages. We offer various support levels including bug fixes, updates, and ongoing development services.

9. Limitation of Liability

Our liability is limited as follows:

  • We are not liable for indirect, incidental, or consequential damages
  • Our total liability is limited to the amount paid for the specific service
  • We are not responsible for third-party software or services
  • Force majeure events are excluded from our liability
  • Clients are responsible for backing up their data

10. Termination

Either party may terminate this agreement under the following conditions:

  • Written notice of 30 days for convenience
  • Immediate termination for material breach
  • Upon completion of all project deliverables
  • Mutual agreement in writing

Upon termination, we will deliver all completed work and provide a final invoice for services rendered.

11. Governing Law and Dispute Resolution

These terms are governed by the laws of Pakistan. Any disputes will be resolved through:

  • Good faith negotiations between parties
  • Mediation if negotiations fail
  • Arbitration as a final resolution method
  • Legal proceedings only as a last resort

12. Changes to Terms

We reserve the right to modify these terms at any time. Changes will be effective immediately upon posting on our website. Continued use of our services constitutes acceptance of the modified terms.
